Fixed fee Franchise Agreement Reviews
Over the years we have offered different levels of services for reviewing Franchise Agreements.
From this experience we have tailored what we consider to be the most informative and cost effective fixed fee service available for franchise reviews. This service has been developed from the feedback of many prospective franchisees.
Many solicitors offer a fixed fee written report (a service that we ourselves used to offer). Our approach is different to this.
We offer the following service:
An initial review of the Franchise Agreement in advance followed by a telephone conference (or meeting) with the prospective franchisee to discuss:
- The business concept including your reasons for selecting this particular franchise;
- What you know about the track record of the Franchisor;
- Whether or not you have spoken to existing franchisees;
- The market research that you have done;
- Whether or not you have read the Manual;
- An explanation of the standard clauses;
- An explanation of the clauses which we consider to be unusual and the consequences of this;
- Areas where you may be able to negotiate;
- Amendments which you should ask the franchisor to make;
- Potential problem areas;
- Any further information you need to see prior to entering the agreement;
- Specific concerns or queries you may have;
We then follow this up with an email of the main points discussed – this should be enough information to enable you to approach the franchisor directly to negotiate, ask further questions or request further information or amendments.
We find that this approach enables us to gain enough information to ensure that we are satisfied that you understand fully the most important legal and commercial issues and that you are going into the franchise with your eyes open.
