Buying an Existing Franchise

If you are considering buying an existing franchise you need to consider various factors:

  • Will the franchisor accept you as a franchisee?
  • If you are buying a franchise which includes premises owned by a third party landlord, will the landlord accept you as a tenant?

If you have approval from all the relevant parties then we would need to advise you on the legal documentation which may include:

  • The business sale agreement between you and the existing franchisee. In particular, we would need to consider the warranties you will require concerning the business, for instance, to confirm that the figures upon which you have based your offer are true and accurate.
  • The Franchise Agreement.
  • The property aspects. If there is a third party landlord you would need a licence from the landlord to assign the existing lease (together with an assignment of the lease from the existing franchisee.)

One of the most important factors is for us to make sure that all the elements tie in together. For instance, you don’t want to be committed to take a lease if the Franchise Agreement may end before the lease does or vice versa.
